Estun Automation Completes 100% Acquisition of Estun Codroid and Integrates It as Wholly-Owned Subsidiary

Estun Automation Co., Ltd. announced that it has formally closed the previously disclosed transaction to acquire the remaining equity in Nanjing Estun Codroid Technology Co., Ltd. (“Estun Codroid”). The acquisition was completed on 2 September 2026 under the terms of the Equity Purchase Agreement first detailed in company disclosures on 2 July, 4 August and 31 August 2026, and in the shareholder circular dated 11 August 2026.

Following completion, Estun Codroid has become an indirect wholly-owned subsidiary of Estun Automation. As a result, the entity’s financial results will be fully consolidated into the Group’s accounts from the closing date.

The transaction constitutes a connected transaction under Hong Kong Listing Rules. No further financial terms were disclosed in the announcement.

The board composition of Estun Automation remains unchanged, with Mr. Wu Bo continuing as Chairman and Executive Director. The company released the update in Hong Kong on 7 September 2026.
