MOG Digitech's Rights Issue Gains 27.73% Acceptance, Raising Net Proceeds of HK$43.2 Million

MOG DIGITECH (01942) has announced the results of its rights issue, with valid acceptances and applications received for a total of 190 million rights shares as of the final acceptance deadline at 4:00 pm on Tuesday, August 11, 2026. This figure represents approximately 27.73% of the total rights shares offered under the issue.

Given this shortfall, the rights issue was undersubscribed, leaving 496 million rights shares unsubscribed, which accounts for roughly 72.27% of the total shares available. To address this, a compensatory arrangement has been put into effect. By the final deadline for the placing agent to place these unsubscribed shares, set for 4:00 pm on Tuesday, August 25, 2026, all 496 million unsubscribed shares were successfully placed with six independent placees at a placing price of HK$0.065 per share, which equals the subscription price.

Consequently, under the compensatory arrangement, there is no net profit available for distribution to non-acting shareholders. Following the acceptance results of the rights issue and the placing outcomes under the compensation plan, a total of 686 million rights shares will be allotted and issued, including the previously unsubscribed portion, representing approximately 100.00% of the total rights shares offered for subscription under the rights issue.

The total gross proceeds raised from the rights issue, inclusive of the compensation arrangement, amount to approximately HK$44.6 million. After deducting all related expenses, the net proceeds are around HK$43.2 million. As disclosed in the prospectus, the company intends to allocate the net proceeds as follows: approximately HK$21.6 million, or about 50% of the net proceeds, will be injected into the group's existing financing services business, while the remaining HK$21.6 million, also about 50%, will be utilized for general working capital purposes, covering employee-related costs and rental expenses.
