New Higher Edu Establishes Sustainability Committee to Drive ESG Strategy and Oversight

On 8 September 2026, China New Higher Education Group Limited (New Higher Edu) approved the formation of a Sustainability Committee, strengthening board-level governance over environmental, social and governance (ESG) matters.

The newly created body will comprise no fewer than three directors, with its chair to be either the board chairman or an independent non-executive director. A quorum of two members is required for meetings, which may be convened with a minimum of five days’ notice. Written resolutions signed by all members will carry the same authority as formal meetings.

Key mandates include: • Defining the Group’s ESG vision, objectives, strategies and governance framework to ensure alignment with legal, regulatory and international standards. • Overseeing implementation, setting management performance targets, and reviewing progress against ESG goals while recommending remedial actions where necessary. • Identifying and prioritising material ESG issues, monitoring emerging trends and related risks—particularly climate-related—and assessing the adequacy of the existing framework. • Supervising stakeholder engagement processes to safeguard corporate reputation. • Reviewing the Group’s ESG reports and disclosures before they are submitted to the board.

The committee is empowered to access sufficient resources and obtain independent professional advice at the Company’s expense. Full minutes will be maintained and circulated, and the committee will report its decisions and recommendations to the board, subject to any regulatory constraints.

The board retains the right to amend the committee’s terms of reference, provided such changes do not invalidate prior actions legally taken under the existing mandate.
