ZHOU HEI YA Adds 226,500 Shares to Ongoing Buy-Back, Lifting Pending-Cancellation Total to 11.46 Million

• Zhou Hei Ya International Holdings Company Limited (ZHOU HEI YA) disclosed that it repurchased 226,500 ordinary shares on 10 September 2026 via on-exchange transactions at prices between HKD 1.24 and HKD 1.25 per share, for an aggregate consideration of HKD 0.28 million.

• The latest purchase lifts the company’s cumulative pool of shares “repurchased for cancellation but not yet cancelled” to 11.46 million, representing roughly 0.55% of the 2.08 billion issued shares outstanding as at 10 September 2026. No treasury shares were held at period-end.

• Issued share capital remained unchanged over the period, with both opening and closing balances at 2.08 billion ordinary shares.

• Since shareholders granted a renewed buy-back mandate on 10 June 2026, the company has repurchased 9.47 million shares on the Hong Kong Stock Exchange, equivalent to 0.45% of the shares then in issue. This utilises only about 4.5% of the 211.29 million shares authorised under the mandate, leaving substantial headroom for further buy-backs.

• Under Hong Kong Listing Rules, ZHOU HEI YA is subject to a 30-day moratorium—lasting until 10 October 2026—on issuing new shares or selling any treasury shares following the latest repurchase.

• Chairman, Executive Director and Chief Executive Officer Mr Zhou Fuyu confirmed that all repurchases complied with the Main Board Rules and that no material changes have occurred to the Explanatory Statement dated 20 April 2026.
