TENCENT Executes Additional HKD 100.27 Million Share Buyback; Cumulative Repurchases Reach 43.70 Million Shares under 2026 Mandate

Tencent Holdings Limited disclosed that it repurchased 229,000 ordinary shares on 3 September 2026 via on-exchange transactions at prices between HKD 433.00 and HKD 445.40 per share. The outlay totalled HKD 100.27 million, implying a volume-weighted average cost of approximately HKD 438.70 per share.

The company’s issued share capital remained unchanged at 9.10 billion shares as of 3 September 2026; however, the newly repurchased shares, together with earlier buybacks since 17 August 2026, bring the tally of shares pending cancellation to 7.63 million—equivalent to about 0.08 % of the current issued share base.

Under the shareholder mandate granted on 13 May 2026, Tencent is authorised to acquire up to 911.80 million shares. As of 3 September 2026, the company has repurchased 43.70 million shares, representing 0.48 % of the shares outstanding on the mandate date, leaving substantial capacity for further buybacks.

Pursuant to Hong Kong Stock Exchange rules, Tencent faces a moratorium on issuing new shares or selling treasury shares until 3 October 2026 following the latest repurchase.

All repurchases were conducted in accordance with the HKEX Main Board Listing Rules, and the company confirmed that no material changes have occurred to the Explanatory Statement filed on 9 April 2026.
