KEEP Executes HKD 0.19 Million Share Buyback; Treasury Stock Rises to 12.80 Million Shares

Hong Kong-listed fitness platform Keep Inc. (KEEP) disclosed a further on-market repurchase of 119,700 ordinary shares on 02 September 2026. The shares were bought at prices ranging from HKD 1.49 to HKD 1.59, with a volume-weighted average cost of HKD 1.5457 per share, bringing the cash outlay to HKD 0.19 million.

Following the latest transaction, issued shares outstanding (excluding treasury shares) declined marginally to 497.48 million, while treasury shares increased to 12.80 million. The company’s total issued share capital remains unchanged at 510.28 million shares; treasury stock now accounts for approximately 2.51 % of this total.

Keep’s repurchase activity is being conducted under a mandate granted on 04 June 2026, which authorises the company to buy back up to 50.24 million shares. Cumulative repurchases under this mandate have reached 4.94 million shares, representing 0.98 % of the issued shares on the mandate date, leaving roughly 90 % of the authorisation unused.

In addition to the treasury shares, Keep holds 3.52 million shares that were repurchased between January and April 2026 for cancellation but had not yet been cancelled as of 02 September 2026. These earlier purchases were executed at prices between HKD 2.91 and HKD 3.98 per share.

Under Hong Kong Stock Exchange rules, the company is subject to a moratorium on issuing new shares or disposing of treasury shares until 02 October 2026.
