Ever Reach Group (Holdings) Company Limited will convene its 2026 annual general meeting (AGM) on 5 June 2026 at 10:30 a.m. in Harbour Plaza North Point, Hong Kong. Shareholders will vote by poll on six ordinary resolutions that frame the group’s governance structure and capital management flexibility for the coming year.
Key agenda items:
1. Financial Statements Shareholders will consider and approve the audited consolidated financial statements, along with the directors’ and auditor’s reports, for the year ended 31 December 2025.
2. Board Composition The meeting will seek re-election of four executive directors—Mr. Li Xiaobing, Mr. Wang Zhenfeng, Ms. Li Man and Mr. Lee Kwok Lun—and authorisation for the board to set director remuneration.
3. Auditor Re-appointment McMillan Woods (Hong Kong) CPA Limited is nominated for re-appointment as external auditor, with the board authorised to determine its fee.
4. Share Buy-back Mandate The board is requesting a new general mandate to repurchase up to 10% of the company’s issued shares (excluding any treasury shares) during the period from the AGM date until the next AGM, the statutory deadline for holding the next AGM, or an earlier revocation by shareholders—whichever occurs first.
5. Issuance Mandate A separate mandate would allow the board to allot, issue or deal with additional shares—excluding rights issues, share option exercises and scrip dividends—up to 20% of the company’s issued share capital (excluding treasury shares) as of the AGM date.
6. Extension of Issuance Capacity Conditional on the passage of both the buy-back and issuance mandates, the board may extend the 20% issuance limit by adding back the shares actually repurchased under the 10% buy-back mandate.

The AGM will be postponed if Typhoon Signal No. 8 or higher, “extreme conditions,” or a black rainstorm warning is in force after 7:30 a.m. on the meeting day.
The board currently comprises four executive directors—Mr. Li Xiaobing (Chairman), Mr. Wang Zhenfeng, Ms. Li Man and Mr. Wang Quan—and three independent non-executive directors—Mr. Lee Kwok Lun, Mr. Wei Jian and Mr. Fang Cheng.
