HAIDILAO's Controlling Shareholder Plans to Offload 259 Million Shares via Block Trade

HAIDILAO (06862) has announced that its controlling shareholder, SP NP Ltd., a member of the shareholder group, disposed of 259 million shares through a block trade at a price of HK$10.62 per share on September 8, 2026. This transaction represents approximately 4.65% of the company's total issued shares as of the announcement date.

According to the board's knowledge, SP NP Ltd. is wholly owned by UBS Trustees (B.V.I.) Limited, acting as trustee of the Rose Trust, through UBS Nominees Limited in its capacity as nominee. The Rose Trust is a discretionary trust established by Mrs. Shu Ping, who serves as both settlor and protector, for the benefit of herself, Mr. Zhang Yong, and their family.

The board has been informed by SP NP Ltd. that this sale is driven purely by its own capital requirements and financial arrangements, constituting a matter at the shareholder level. It bears no connection to the group's business operations, financial condition, or development prospects. The sale does not involve the issuance of any new shares by the company and will not result in any dilution of shareholders' interests.

Following the completion of this disposal, the controlling shareholder group retains interests in 2,535,384,370 issued shares, representing approximately 45.49% of the total issued shares. As of the announcement date, the controlling shareholders continue to control approximately 45.49% of voting rights at the company's shareholder meetings, exceeding the 30% threshold, thereby maintaining their status as the controlling shareholder with unchanged control and management of the company.

SP NP Ltd. has confirmed to the company that the controlling shareholders remain highly confident in the group's business prospects, growth potential, and long-term value, and will continue to support the group's long-term development as always. The board emphasizes that the group's current business operations and financial position remain normal, with all business activities progressing steadily in accordance with established strategies. The board believes this disposal will not adversely impact the group's business, operations, financial condition, management stability, or corporate governance.
