Beisen trims free-float with 0.03% share buyback, issues 10,080 new shares under option plan

Beisen Holding Limited executed two capital actions on 3 September 2026, according to its Next Day Disclosure Return filed with the Hong Kong Stock Exchange.

1. New-share issue • 10,080 ordinary shares were allotted pursuant to the company’s Pre-IPO Share Option Plan adopted on 15 July 2019. • The shares were issued at HKD 0.00774 each, expanding the total share count (including treasury shares) to 738.02 million. • The increase represents 0.0014% of the outstanding share base prior to the transaction.

2. On-market share repurchase • Beisen bought back 200,000 shares on the Exchange at prices between HKD 3.17 and HKD 3.25, for a volume-weighted average cost of HKD 3.21 per share. • Total cash outlay amounted to HKD 0.64 million. • The repurchased stock, representing 0.0277% of issued shares, has been retained as treasury shares, lifting the treasury pool to 15.88 million shares.

Post-transaction, Beisen’s issued share capital (excluding treasury shares) declined to 722.14 million, while total issued shares including treasury edged up to 738.02 million due to the option-related issuance. The company has repurchased 20.65 million shares—equivalent to 2.94% of the shares outstanding at the time of its 18 September 2025 mandate—against an authorisation to buy back up to 70.12 million shares. A 30-day moratorium on new share issues or treasury-share disposals runs through 3 October 2026, in line with Hong Kong listing rules.
