Baidu, Inc. (abbreviation: BIDU) has transformed its Hong Kong presence from a secondary to a dual primary listing, effective 1 September 2026. The company’s ordinary shares now hold primary status on both the Main Board of Hong Kong Exchanges and Clearing Limited (HKEX) and the Nasdaq Global Select Market.
The dual primary listing framework maintains full fungibility between BIDU’s ordinary shares traded in Hong Kong and its American Depositary Shares (ADSs) listed on Nasdaq, each ADS representing eight Class A ordinary shares.
Corporate governance remains under the firm’s weighted voting rights (WVR) structure: each Class A ordinary share carries one vote, while each Class B ordinary share carries 10 votes. Investors are advised to acknowledge the inherent risks associated with WVR structures when considering the company’s securities.
Board composition is unchanged, with Robin Yanhong Li serving as Chairman and Chief Executive Officer. Independent directors include Yuanqing Yang, Jixun Foo, Sandy Ran Xu and Xiaodan Liu.
