Bilibili Completes US$500 Million Convertible Notes Offering and US$100 Million Share Buyback; Tencent’s Additional US$200 Million Notes Subscription Awaits Shareholder Nod

Bilibili Inc. announced the successful completion of its marketed offering of US$500.00 million aggregate principal amount of convertible senior notes due 2031. Concurrent with the issuance, the company repurchased approximately US$100.00 million of its Class Z ordinary shares.

Alongside the notes issuance, the concurrent placement of borrowed Class Z ordinary shares—designed to facilitate hedging by certain note investors—was finalized. This placement coincided with a secondary sale of Class Z ordinary shares by a subsidiary of Tencent Holdings Limited.

Tencent also intends to subscribe for an additional US$200.00 million in aggregate principal amount of the new notes. In parallel, Bilibili plans to repurchase approximately US$200.00 million of its shares from Tencent. Both the supplementary notes subscription and the related share repurchase remain subject to approval by Bilibili’s independent shareholders at an upcoming extraordinary general meeting and other customary closing conditions.

The announcement was issued in Hong Kong on 9 September 2026 and signed by Chairman Rui Chen on behalf of the Board of Bilibili Inc.
