Zhou Hei Ya International Holdings Company Limited disclosed that its issued share capital remained steady at 2.08 billion ordinary shares as of 9 September 2026. No new shares were issued and no treasury shares were re-issued during the period.

Share repurchase activity • On 9 September 2026 the company repurchased 169,500 shares on the Hong Kong Stock Exchange at prices ranging between HK$1.25 and HK$1.29, for a total consideration of HK$0.22 million. • The transaction was executed under the current share-repurchase mandate granted on 10 June 2026, which authorises the company to buy back up to 211.29 million shares. • Cumulative purchases under this mandate now stand at 9.24 million shares, equivalent to 0.44 % of the issued share capital on the mandate date.

Shares pending cancellation From 1 June to 9 September 2026, Zhou Hei Ya bought back 11.24 million shares that are yet to be cancelled, representing about 0.54 % of the existing share base. Based on disclosed prices, these repurchases represent an estimated cash outlay of roughly HK$14.66 million at an average cost close to HK$1.30 per share.

Capital management outlook Following the latest transaction, a 30-day moratorium applies, restricting any new share issues or treasury-share sales until 9 October 2026, in line with Hong Kong listing rules. The company affirmed that all buybacks complied with the exchange’s regulations and that no material changes have been made to the repurchase explanatory statement filed on 20 April 2026.
