HBM Holdings completes HK$3.97 million share buyback and issues 72,000 new shares under award scheme

HBM Holdings Limited disclosed a series of capital movements dated 12 May 2026:

• Share repurchase The company bought back 300,000 ordinary shares on the Hong Kong Stock Exchange at prices ranging from HK$13.11 to HK$13.30, for a volume-weighted average cost of HK$13.22 per share. The aggregate consideration was HK$3.97 million. These repurchased shares are being held as treasury stock, bringing the treasury-share balance to 28.33 million.

• Share issuance for employee incentive Concurrently, 72,000 new ordinary shares were issued at no consideration to satisfy awards granted under the Post-IPO Share Award Scheme adopted on 23 November 2020.

• Share‐capital position after the transactions – Issued shares (excluding treasury shares): 870.79 million, down 0.03% from the previous day because the repurchase exceeded the award-related issuance by 228,000 shares. – Treasury shares: 28.33 million, up by 300,000 shares. – Total issued shares (including treasury shares): 899.13 million, an increase of 72,000 shares following the new-share allotment.

• Outstanding repurchases pending cancellation A total of 406,000 shares repurchased in January 2025 for cancellation remain uncancelled.

• Repurchase mandate utilisation Since the approval of the current mandate on 11 June 2025, HBM Holdings has repurchased 9.99 million shares, equivalent to 1.21% of the issued share base on the mandate date. The company is restricted from issuing, selling or transferring treasury shares until 11 June 2026, except under exchange-permitted carve-outs.

All actions were authorised by the board and executed in compliance with the Hong Kong Listing Rules and applicable regulations.
