LEADER EDU boosts issued share base by 20% through HK$0.265 placement, confirms public-float compliance

For the month ended 31 August 2026, LEADER EDU reported a sizeable expansion of its equity base following a placement of 133.33 million new ordinary shares at HK$0.265 each on 14 August 2026. The move lifted the company’s issued share capital to 800.00 million shares from 666.67 million at the end of July, a 20.0% increase. Post-placement, the newly issued shares represent approximately 16.7% of the enlarged share count.

Authorised capital remains unchanged at 1.00 billion ordinary shares with a par value of USD0.01, equivalent to total authorised capital of USD10.00 million.

No treasury shares were held or cancelled during the period, and the company confirmed that its public float continues to meet the Hong Kong Stock Exchange’s minimum 25% threshold.

LEADER EDU’s share option scheme adopted on 22 July 2020 still carries an unutilised mandate for up to 66.67 million shares; no options were outstanding, granted or exercised in August. The issuer has no outstanding warrants, convertible securities or other share-issuance arrangements beyond the reported placement.

The monthly return was submitted to Hong Kong Exchanges and Clearing Limited on 3 September 2026 and signed by Executive Director Liu Laixiang.
