Tingyi Posts Stable August 2026 Share Capital; Confirms Public Float Compliance

Tingyi (Cayman Islands) Holding Corp. filed its Monthly Return for Equity Issuer for the period ended 31 August 2026, indicating no changes in authorised, issued or treasury share positions.

• Authorised share capital remained at 7.00 billion ordinary shares with a par value of USD 0.005 each, equivalent to USD 35.00 million. No increase or decrease occurred during the month.

• Issued share capital stood unchanged at 5.64 billion ordinary shares, with zero treasury shares held or transferred. Consequently, total issued shares also stayed at 5.64 billion.

• Tingyi confirmed that it met the Main Board’s minimum public-float requirement of 25 percent of issued shares as of 31 August 2026.

• Under the company’s two approved share-option schemes—covering options at HKD 16.18 (2.48 million outstanding) and HKD 10.20 (5.63 million outstanding)—there were no option exercises, new share issuances or treasury-share transfers in August. Funds raised from option exercises were HKD 0.

• The issuer reported no outstanding warrants, convertible securities, other share-issuance agreements or additional share movements during the month.

The filing was authorised by Company Secretary Arthur Ip Pui Lam on 3 September 2026.
