CIFI Holdings Expands Share Capital by 3.26% via Bond Conversions and General Mandate Issuance

CIFI Holdings (Group) Co. Ltd. disclosed that 613.69 million new ordinary shares were issued between 1 September and 8 September 2026, lifting the company’s outstanding share count from 18.85 billion to 19.46 billion—an increase of roughly 3.26%.

The expansion comprised two components:

1. Mandatory convertible bond conversions: • Three separate conversions on 1, 3 and 7 September yielded a total of 205.75 million new shares at HKD 1.60 per share, equal to about 1.09% of pre-event issued shares.

2. General mandate placement: • On 8 September, 407.94 million shares were allotted under the existing general mandate at RMB 1.471 per share, adding a further 2.16% to the share base.

No treasury share movements, repurchases or redemptions were recorded during the period.

Director Lin Zhong confirmed that all issuances complied with Hong Kong Stock Exchange listing rules and other applicable regulations, and that all proceeds have been duly received.
